Terms of Service

These Terms of Service (“Terms”) govern your use of the Ordnad bookkeeping and compliance platform (the “Service”), operated by CreativeMinds (“we”, “us”, “our”). By creating an account or using the Service, you agree to these Terms.
1. The Service
Ordnad is an AI-powered accounting, tax filing, and compliance platform that helps small businesses manage their financial records, prepare annual reports and tax returns, and file with tax authorities. The Service includes:
- Document capture and AI-powered data extraction
- Transaction classification and ledger management
- Financial report generation (P&L, balance sheet, VAT returns)
- Tax return preparation and electronic filing
- Integration with HMRC Making Tax Digital (MTD), Companies House, and Skatteverket
- Deadline tracking and compliance reminders
2. Account Registration
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the security of your account credentials.
- You must be at least 18 years old and legally authorised to act on behalf of the business you register.
- One account per business entity. Each company registration must correspond to a real, registered business.
3. Acceptable Use
You agree to use the Service only for lawful bookkeeping and compliance purposes. You must not:
- Submit false, fraudulent, or misleading financial data
- Use the Service to evade taxes or circumvent regulatory requirements
- Attempt to access other users' data or accounts
- Reverse-engineer, decompile, or attempt to extract the source code of the Service
- Use automated scripts or bots to access the Service (except through our published APIs)
- Resell or sublicense access to the Service without our written consent
4. AI-Powered Features
The Service uses artificial intelligence to extract data from documents, classify transactions, and assist with financial calculations. You acknowledge that:
- AI is assistive, not authoritative. All AI-generated data (amounts, categories, VAT calculations) must be reviewed and approved by you before filing.
- You are responsible for accuracy. While our AI achieves high accuracy, you remain legally responsible for the correctness of all filings and submissions made through the Service.
- Confidence scores are indicative. Low-confidence extractions are flagged for your review, but you should verify all data regardless of confidence level.
5. Tax Filing & Compliance
Your Responsibilities
- You are solely responsible for the accuracy and completeness of all tax returns filed through the Service.
- You must review all filings before submission and ensure they are correct.
- You are responsible for meeting all filing deadlines. While we provide reminders, we do not guarantee their delivery.
- You must maintain your own records in accordance with applicable laws.
Our Responsibilities
- We will transmit your filings to the relevant tax authority (HMRC, Skatteverket) accurately as you approved them.
- We will provide confirmation references for successful submissions.
- We will maintain audit trails of all filings made through the Service.
Important Disclaimers
- Ordnad is not an accountancy firm. We provide software tools, not professional accounting advice. For complex tax matters, consult a qualified accountant or tax adviser.
- We are not liable for penalties arising from incorrect filings, missed deadlines, or errors in your financial data.
6. HMRC Integration
When you connect your HMRC account:
- You authorise Ordnad to access HMRC APIs on your behalf using OAuth 2.0.
- You can revoke access at any time from your Ordnad settings or directly through your HMRC online account.
- We comply with all HMRC developer requirements, including fraud prevention headers.
- Our application is registered with HMRC under their Making Tax Digital programme.
7. Data Ownership
- Your data is yours. You retain full ownership of all financial data, documents, and records you upload or create through the Service.
- You grant us a limited licence to process your data solely for the purpose of providing the Service.
- You can export your data at any time in standard formats.
- Upon account deletion, we will remove your data within 30 days, except where retention is required by law.
8. Pricing & Payments
- Current pricing plans are displayed on our website and within the app.
- We may change pricing with 30 days' notice.
- Payments are processed through Stripe. We do not store your payment card details.
- Refunds are handled on a case-by-case basis. Contact support for refund requests.
9. Service Availability
- We aim for high availability but do not guarantee uninterrupted access.
- We may perform maintenance with reasonable advance notice.
- Third-party API availability (HMRC, Companies House) is outside our control.
- We are not liable for losses caused by service downtime or third-party API outages.
10. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claim arising from the Service is limited to the fees you paid in the 12 months preceding the claim.
- We are not liable for indirect, incidental, special, or consequential damages, including lost profits, tax penalties, or fines.
- We are not liable for errors in AI-generated data that you approved and submitted.
11. Intellectual Property
- The Service, including its design, code, and AI models, is our intellectual property.
- You may not copy, modify, or distribute any part of the Service.
- The Ordnad name, logo, and branding are our trademarks.
12. Termination
- You may close your account at any time from your settings.
- We may suspend or terminate your account if you violate these Terms.
- Upon termination, you retain the right to export your data for 30 days.
- Sections on liability, IP, and governing law survive termination.
13. Governing Law
These Terms are governed by the laws of Sweden. For UK users, nothing in these Terms affects your statutory rights under UK consumer law. Disputes will be resolved through negotiation first, then through the courts of Stockholm, Sweden, or (for UK users) the courts of England and Wales.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use after changes constitutes acceptance.
